ARCLING TERMS OF USE

These Terms of Use (“Terms”) govern your access to and use of the websites, applications, tools, advisory services, and related features (collectively, the “Services”) provided by Driftline Strategy LLC, a Massachusetts limited liability company, doing business as Arcling (“Arcling,” “we,” “us,” or “our”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility

You must be at least sixteen (16) years old to use the Services. If you are under eighteen (18), you represent that you have the consent of a parent or legal guardian.

The Services are not directed to children under thirteen (13), and we do not knowingly collect personal information from children under thirteen (13).

Arcling provides informational resources, advisory tools, and related services concerning college readiness, career exploration, and educational planning.

The Services are provided for informational purposes only and do not constitute financial, legal, or professional advice.

3. Referral Partners and Data Sharing

Arcling may connect users with third party educational institutions, test preparation providers, career services providers, or other related organizations (“Referral Partners”).

By providing your name and email address and or telephone number through the Services, you consent to Arcling sharing that information with selected Referral Partners so that they may contact you regarding their services. Arcling may receive compensation from Referral Partners for introductions or leads.

Important phone consent notice: If you provide a telephone number, you acknowledge and agree that Referral Partners may contact you at that number by call or text message, which may include the use of automated dialing technology, and that message and data rates may apply. You are not required to provide a telephone number to use the Services. You may instead provide an email address.

Arcling does not control and is not responsible for the services, communications, representations, or privacy practices of any Referral Partner. Your interactions with any Referral Partner are solely between you and that partner.

All content, software, trademarks, branding, and materials provided through the Services, excluding User Content, are owned by Arcling or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, nonexclusive, nontransferable license to access and use the Services for personal, noncommercial purposes.

You may not reproduce, distribute, modify, reverse engineer, or create derivative works from the Services without our prior written consent.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR FREE, OR COMPLETELY ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCLING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL ARCLING’S TOTAL LIABILITY EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100), OR (B) THE AMOUNTS PAID BY YOU TO ARCLING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Arcling and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your violation of these Terms or misuse of the Services.

12. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms.

Upon termination, all rights granted to you under these Terms will immediately cease.

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and any accrued rights shall survive termination.

13. Assignment and Change of Control

You may not assign these Terms without our prior written consent.

Arcling may assign these Terms without consent in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets or equity.

These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. A change of control of Arcling shall not terminate these Terms.

14. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved in the state or federal courts located in Massachusetts, and you consent to the jurisdiction of such courts.

15. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be effective upon posting to the website. Continued use of the Services after changes constitutes acceptance of the updated Terms.

16. Entire Agreement

These Terms constitute the entire agreement between you and Arcling regarding the Services and supersede any prior agreements.
